Orders, Pricing & Payments:

• Quotations are valid for the period stated or, if none, 30 days.
• Orders are binding only after written confirmation by Elite Equipments.
• Orders must include accurate specifications, delivery address, and any regulatory requirements specific to the destination.
• We may accept or decline Orders at our discretion. If we cannot supply a Product, we will notify you and either provide an estimated lead time or cancel the Order.
• Prices exclude applicable taxes, customs duties, and shipping unless otherwise stated.
• Payments must be made per invoice terms (e.g., advance). We may suspend delivery or services for overdue payments.
• Late payments may incur interest and collection charges. We reserve the right to suspend performance of any obligations (including service) until outstanding payments are made.
• All payments must be made in INR via approved methods. Bank charges and transfer fees are the responsibility of the Customer.

Delivery & Risk of Loss:

• Delivery times quoted are estimates and start from the date of order confirmation, subject to timely receipt of technical information, approvals, and payment.
• Delivery dates are estimates. Elite Equipments is not liable for delays caused by factors beyond our reasonable control (e.g., customs clearance, supply shortages).
• Delivery terms are specified in the order confirmation. Risk passes according to the agreed Incoterms. Title to Products transfers only upon full payment.
• The Customer must inspect delivered Products immediately and notify Elite Equipments in writing of any damage, shortage, or non-conformity within 7 days of delivery. Failing such notice, the Product shall be deemed accepted.

Returns, Cancellations & RMA:

• Custom-built, special-order, or calibrated Products are non-cancellable and non-returnable.
• Standard Products may be returned only with prior written authorization (RMA). Returned goods must be unused, in original packaging, and shipped prepaid by the Customer. Restocking fees may apply.
• Cancellations must be approved in writing. Charges may apply for work already performed.

Warranty & Disclaimer:

• Elite Equipments warrants Products to be free from material defects in workmanship and materials for 12 months from delivery, provided they are used, installed, and maintained according to specifications.
• Warranty does not cover: consumables, wear and tear, misuse, improper installation, unauthorized modifications, or repairs made by third parties.
  
• Remedies are limited to repair, replacement, or credit (at our discretion).
• EXCEPT AS EXPRESSLY SET OUT IN THIS CLAUSE, ALL OTHER WARRANTIES, CONDITIONS OR TERMS (EXPRESS OR IMPLIED) ARE EXCLUDED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Service & Maintenance:

• Service and maintenance may be provided under separate agreements. Customers must ensure access to facilities, utilities, and trained staff for installation or service.
• Preventive maintenance is recommended to preserve warranty validity.

Customer Responsibilities & Compliance:

• Customers are responsible for ensuring compliance with local medical device regulations, registrations, and approvals.
• Products must only be used by trained professionals in accordance with instructions for use.
• The Customer indemnifies Elite Equipments against claims arising from misuse, unauthorized modifications, or non-compliance with law.

Installation & services:

• Installation and commissioning services will be provided in accordance with the service agreement or work order. The Customer shall provide safe access, power, environmental conditions, and any necessary permissions.
• Training provided is limited to the scope agreed; additional training can be purchased.
• Service agreements (SLA) may include response times, scheduled maintenance, and spare parts; service levels are defined in the service contract.

Software, firmware, and IP:

• Any software or firmware supplied with Products is licensed, not sold. Ownership and intellectual property rights remain with the licensor.
• The Customer receives a non-exclusive, non-transferable license to use the software for the Product’s intended functionality only. Reverse engineering is prohibited except where permitted by law.

Feedback, Comments, and Ideas:

By submitting feedback, suggestions, or ideas through this website, you grant Elite Equipments a non-exclusive, royalty-free license to use and implement them without obligation or compensation, except where prohibited by law.

No Warranties (Website Use):

WEBSITE CONTENT IS PROVIDED “AS IS” AND “AS AVAILABLE.” ELITE EQUIPMENTS MAKES NO WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR UNINTERRUPTED AVAILABILITY OF THE WEBSITE. USERS ARE RESPONSIBLE FOR PROTECTING THEIR SYSTEMS FROM VIRUSES OR HARMFUL CODE.

Limitation of Liability:
